Draft, pending legal review

This document is published in draft while it is reviewed by counsel. It is not yet binding and may change before the Launch Program opens. Questions: support@inspic.io.

These terms govern your use of Inspic.io. By creating an account you agree to them on behalf of yourself and the business you represent.

They are a contract with [LEGAL ENTITY NAME], a company registered in Egypt under registration [COMMERCIAL REGISTRATION No.], at [REGISTERED ADDRESS, CAIRO, EGYPT].

1. What the service is

Inspic.io is a seller intelligence platform for Amazon marketplaces in the Middle East and North Africa. It gathers publicly available marketplace data, estimates figures Amazon does not publish, and, where you connect an Amazon selling account, presents your own sales data alongside those estimates.

We are not affiliated with, endorsed by, or acting for Amazon.com, Inc. or any of its subsidiaries. “Amazon” and related marks belong to Amazon.

2. Estimates are estimates

This clause matters more than the rest of this document, so it is near the top rather than buried.

A large part of what the product shows you, sales volumes, revenue, keyword search volumes, opportunity scores, suggested prices, research findings, is estimated by statistical models and by AI systems. Amazon does not publish these figures. Our estimates are calibrated against the data we have and they will sometimes be substantially wrong.

  • Nothing in the product is business, financial, tax or legal advice.
  • Decisions you take on the basis of our output, what to stock, what to charge, what to launch, are yours.
  • AI-generated content, including proposed listing titles and price bands, is a suggestion for you to review, not copy ready to publish. You are responsible for what you put on your listings, including its accuracy and its compliance with Amazon's policies and with the law.
  • Where we display data attributed to your connected Amazon account, that data is what Amazon returned to us. If it disagrees with Seller Central, Seller Central is right.

3. Who may register

During the current phase, registration is open to Amazon Egypt businesses. You must confirm your email, provide business details and supply your amazon.eg storefront URL. Connecting your Amazon seller account is optional. Eligible initial Launch plan registrations are approved automatically; other registrations require an admin decision.

  • You must be at least 18 and able to enter a contract.
  • You must give accurate information at signup and keep it current.
  • You must not submit false or altered verification evidence. Doing so terminates the account and we may report it to Amazon.
  • One workspace per business. You may invite colleagues to your workspace rather than registering again.

We may refuse or revoke a registration at our discretion where verification fails or where we reasonably believe the account is not what it claims to be.

4. Your account

  • You are responsible for everything that happens under your account, including anything done by people you invite to your workspace.
  • Keep your password and any API keys secret. Tell us promptly if you think either has been exposed.
  • The workspace owner controls membership and may remove members at any time.
  • API keys inherit the permissions of the workspace. Treat a key as equivalent to a password.

5. Acceptable use

Your use of the service is subject to the Acceptable Use Policy, which forms part of these terms. In short: do not resell our data, do not use us as a scraping proxy, do not try to break the service or reach another workspace's data, and do not use the product to do anything unlawful.

6. Fees

Paid plans are billed in advance for the period you choose and are not refundable for a period already started, except where the law requires otherwise. Prices exclude any tax we are obliged to collect. We will give at least 30 days' notice by email before changing the price of a plan you are on.

Accounts on the Launch Program pay nothing. The separate Launch Program Terms set out what is expected in return and how that arrangement ends.

7. Availability

We aim to keep the service available and we monitor it continuously, but we do not offer a service level agreement at this stage and the service is provided as it stands.

Parts of the product depend on Amazon. If Amazon changes its pages, its API, or its policies, features may degrade or stop at short notice, and we may have to remove them. We will tell you when that happens.

8. Your data

  • You keep ownership of everything you put into the product and of your Amazon seller data. We claim no rights over it beyond what we need to run the service for you.
  • You grant us a licence to process that data to provide the service, and to include it in aggregated, anonymised statistics that cannot identify you or your business.
  • We keep and use feedback you give us about the product, including after your account closes, without obligation to you.
  • You can export your data from the product at any time, and you can ask us for a copy. See the Privacy Policy.

9. Intellectual property

The service, its software, its models and its branding belong to [LEGAL ENTITY NAME]. You get a non-exclusive, non-transferable right to use it for your own business while your account is active, and nothing more. You may not copy, reverse engineer or resell any part of it.

Output generated for you, research findings, suggested titles, exports, is yours to use in your business.

10. Suspension and termination

You may close your account at any time from Settings.

We may suspend or terminate an account where:

  • you breach these terms or the Acceptable Use Policy;
  • verification fails, or the evidence you gave turns out to be false;
  • your use threatens the security, stability or lawful operation of the service;
  • we are required to by law; or
  • in the case of a Launch Program account, on the terms set out in the Launch Program Terms.

Except where a delay would cause harm or the law prevents it, we will tell you the reason and, where the problem can be fixed, give you a chance to fix it. A suspended account can still sign in to read the reason.

On termination your access ends. We keep your data for 90 days so the account can be restored if the termination was a mistake or you change your mind, then we delete it in line with the Privacy Policy.

11. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under Egyptian law.

Subject to that, we are not liable for lost profits, lost revenue, lost sales, lost data, or indirect or consequential loss, however it arises. Our total liability in any 12-month period is capped at the greater of the fees you paid us in that period and 5,000 EGP.

For a Launch Program account the fees paid are zero, so in practice the cap is 5,000 EGP. That is deliberate and it is the trade for a service that costs you nothing. If that is not an acceptable risk for your business, do not rely on the product for decisions of a size that would matter.

12. Changes to these terms

We will give at least 30 days' notice by email of a material change, and ask you to accept the new version when you next sign in. Continuing to use the service after that date means you accept it. If you do not, close the account. We will refund any unused prepaid period.

13. Governing law

These terms are governed by the laws of the Arab Republic of Egypt, and the courts of Cairo have exclusive jurisdiction. Before starting proceedings, please write to support@inspic.io. Almost everything is faster to resolve that way.
